Eligibility
Who can invest.
The fund is offered under Rule 506(c) of Regulation D, so every investor must be an accredited investor, and we must verify it.
Individuals generally qualify if any of these apply1
- Net worth over $1 million, alone or with a spouse or partner, excluding your primary residence.
- Income over $200,000 (or $300,000 with a spouse or partner) in each of the prior two years, with a reasonable expectation of the same this year.
- Holding a Series 7, 65 or 82 license in good standing.
- Certain insiders of the fund, such as directors, executive officers or general partners, or “knowledgeable employees” of a private fund.
Entities
Many entities qualify, for example those with more than $5 million in assets or investments, or entities whose equity owners are all accredited.1
How verification works
Rule 506(c) requires us to take reasonable steps to verify your status before you invest, for example a letter from a CPA, attorney or verification service, or a review of documents such as tax returns or account statements.
Should you invest?
Being accredited does not make an investment suitable. Only invest money you can afford to lose and can leave tied up for years. Our education series covers net worth excluding your home, liquidity and paying down debt first.
